1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, services, and communications operated by Valour Global Dental ("Valour", "we", "us"), including the GlobalDentist brand. By using our website, by submitting a form, or by replying affirmatively to our outreach, you agree to be bound by these Terms.

2. Description of Service

Valour provides patient-acquisition marketing services to dental practices in the United States, including paid advertising, lead generation, positioning consulting, and conversion optimization. Our outbound program contacts U.S. dental practices on a B2B basis to introduce these services and schedule diagnostic calls.

3. Eligibility

Our services and messaging programs are intended for business professionals 18 years of age or older, acting on behalf of a dental practice. By using our services you represent that you meet these requirements.

4. Messaging Terms (SMS, WhatsApp, Email)

By providing your business phone number through our website, by replying affirmatively to our outreach, or by maintaining a publicly listed business contact for your practice, you acknowledge that you may receive business communications from Valour relating to our services. The following terms apply specifically to our SMS messaging program:

• Program purpose: account-based B2B outreach related to our patient-acquisition services, including conversation initiation, follow-up, scheduling, and sharing diagnostic materials.
• Message frequency: message frequency varies. Recipients typically receive no more than 4 messages per month per contact.
• Message and data rates may apply. Check with your wireless carrier for details.
• Opt-out: reply STOP (English) or PARAR (Portuguese) at any time to stop receiving SMS from this program.
• Help: reply HELP or contact lucas@valour.global for assistance.
• Carriers (including AT&T, T-Mobile, Verizon, and others) are not liable for delayed or undelivered messages.
• Mobile information is not shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details on subprocessors used to deliver messages.

Email outreach is governed by the same opt-out principle: every email includes an unsubscribe mechanism, and we honor unsubscribe requests promptly in line with the U.S. CAN-SPAM Act.

5. Account and Security

If you are an authorized user of the Valour internal application, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to access systems or data not authorized to you
• Interfere with or disrupt the service or servers
• Reverse-engineer or copy proprietary components

7. Intellectual Property

All content on our websites, including text, graphics, logos, and software, is the property of Valour Global Dental or its licensors and is protected by intellectual property laws. You may not reuse it without our written permission, except as permitted by fair use.

8. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific marketing results.

9. Limitation of Liability

To the maximum extent permitted by law, Valour Global Dental shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of, or inability to use, the service.

10. Indemnification

You agree to indemnify and hold harmless Valour and its officers, employees, and agents from any claims arising from your breach of these Terms or your misuse of the service.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Disputes shall be resolved in the state or federal courts located in Delaware, unless otherwise required by mandatory local law.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent version. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
